I have Board Membership experience, which i gathered in various Austrian and German Non Profit Association.
I don't know if it's possible in France, but what about extending the distance between an general assembly?
For Example every 3 years, which would also mean that the electoral term for the Board needs to be extended likewise.
In General an Association is quite democratic, if most people are able to get access. Voting after a Year is too long, but a short time period of 1-3 months before an member can vote is good.
An association is always paperwork - sadly - but is good because the members themselves have various rights concerning transparency, co-determination and so on. It also gives more saftey and makes you independent from other people. Outsourcing is probably not the best Idea.
ยง10 of the statues say:
The Association shall be governed by a Board of at least two members elected in accordance with the procedures described in Article 16.
So you won't need 8 People, but at least 2 french speaking Persons. That would be a President and a Secretary/Treasurer. Anyone else, wouldn't need to speak French, as they don't need to represent the association or document anything as for example "keeping the register provided for by law".
Besides this it feels a little bit weird to have a national based legal entity for a international project. We might be able to get around all the issues now, and we should! But in the long run we should somehow find a sustainable solution.
AFAIK there is no other legal entity that offers that kind of legal safety (liability etc.) and basic democratic tools. For Example a Foundation wouldn't make much sense, in my opinion. The best solution would probably be to try and trim down the paperwork as much as possible.
